1. Introduction, Scope, & Agreement

Welcome to PROMEX DOT ME Inc. (“Promex”, “we”, “our”, or “us”). These General Terms of Service (the “Terms”) govern your access to and use of the Promex network of websites, which includes **promex.me, promex.ai, gaming.me, and wooshop.me** (collectively, the “Sites”).

These Terms, along with all policies in the other tabs, apply to all associated digital products and professional services offered through the Sites (collectively, the “Services”). This document forms a binding legal agreement between you and Promex. If you do not agree to these terms, you must not use our Sites or Services.

2. Services Provided

Promex offers a range of digital products and services, including but not limited to: the sale of Digital Tokens for use with AI platforms, custom web development, website hosting, business automation, and technology consulting. To use our Services, you must be at least 18 years old or the age of legal majority in your jurisdiction.

3. User Accounts

To access certain Services, you may need to create an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. By creating an account or providing your contact information, you consent to receive essential service-related communications from us via email or other means.

4. Intellectual Property

All content, branding, software, and technology on our website and within our Services are the exclusive property of Promex or its licensors. You are granted no right or license to use our assets beyond the scope of the Services you have purchased. You may not copy, distribute, modify, or create derivative works from our assets without our express written permission.

5. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, PROMEX PROVIDES ITS SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

7. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in King County, Washington, and you consent to the personal jurisdiction of and venue in such courts.

8. Changes to Terms

We reserve the right to modify these terms at any time. We will post the most current version on this page with an updated “Effective Date.” By continuing to use our Services after changes become effective, you agree to be bound by the revised terms.

1. Preamble & Scope

This section governs all purchases of digital tokens, credits, or similar prepaid units (“Tokens”) from Promex. These terms are critical and directly impact your purchase. By purchasing Tokens, you are explicitly agreeing to every clause in this section.

2. Nature of Tokens (Closed-Loop System)

You explicitly acknowledge and agree that Tokens function as prepaid service credits within a closed-loop system. This means:

  • For Service Use Only: Tokens are used solely to redeem access to AI servers, automations, and related technology services offered via Promex. They are not a financial instrument, security, investment, or cryptocurrency.
  • No Monetary Value: Tokens have no cash value and cannot be redeemed for cash from Promex or any third party (“cashed out”).
  • Non-Transferable: Tokens are linked to your account and cannot be sold, traded, or transferred to other users.

3. Orders, Delivery & Proof of Delivery

Upon successful payment authorization, Tokens are delivered immediately by being credited to your Promex user account. You agree that this act of crediting your account constitutes full, final, and irrefutable proof of delivery. Due to the privacy-focused nature of our service, we cannot track your specific Token usage on third-party AI platforms; therefore, the delivery to your account is the full and final completion of the service purchased.

4. Non-Refundable Policy (CRITICAL)

All sales of Digital Tokens are final and strictly non-refundable once delivered.

Because Tokens are intangible digital goods that are delivered and available for consumption instantly, they cannot be returned or recalled. By completing a purchase, you expressly request immediate performance of the contract and acknowledge that you thereby lose any statutory right of withdrawal or “cooling-off period” (e.g., 14 days) that might otherwise apply to digital content.

5. Chargebacks & Payment Disputes

You agree that you will not initiate a chargeback or payment dispute with your bank or payment processor for a valid transaction where Tokens were delivered to your account. Doing so is a violation of these terms. If you have an issue with a transaction, you agree to contact Promex support first to resolve it. Fraudulent chargebacks may result in immediate account suspension, reporting to relevant authorities, and pursuit of the debt through a collections agency.

This policy outlines the conditions under which refunds may be issued. Due to the different nature of our services, refund eligibility varies. Please read this policy carefully to understand your rights.

2. Services Explicitly Non-Refundable

The following products and services are strictly non-refundable under any circumstances:

  • Digital Tokens / Credits: As detailed in the “Digital Token Terms of Sale,” all Token purchases are final and non-refundable once delivered to your account.
  • Services Already Rendered: Fees for consulting, development, or automation work that has already been completed are non-refundable.
  • Third-Party Fees: Any fees paid on your behalf to third parties (such as domain name registrations or software licenses) are non-refundable.

3. Services Eligible for Refund (14-Day Policy)

For certain subscription-based services, we offer a 14-day refund policy, subject to the conditions below. This policy applies to:

  • Website Hosting Plans: If you cancel your hosting plan within 14 days of the initial purchase, you are eligible for a full refund, less any applicable third-party fees.
  • Consulting Retainers: If you purchase a pre-paid consulting retainer and cancel before any work has begun, you may request a refund within 14 days of purchase.

This 14-day refund policy does not apply to Digital Tokens.

4. How to Request a Refund

To request a refund for an eligible service, you must contact our support team at [email protected] within the specified timeframe. Please include your transaction details and the reason for your request. All refunds are processed back to the original payment method and may take 5-10 business days to appear on your statement.

Promex values your privacy. This policy explains what personal data we collect, how we use and protect it, and your rights regarding your data. We comply with applicable data privacy laws, including GDPR for EU users and CCPA for California residents.

2. Data We Collect

  • Provided by You: Name, email address, phone number, and any information you provide through contact forms, chat, or during account registration.
  • Collected Automatically: IP address, browser/device information, and usage logs to help us understand how our Services are used and to improve them.
  • Transaction Data: We collect transaction details related to your purchases, but we do not store your full credit card number. Payments are processed by our secure third-party payment processor (Stripe).

3. How We Use Your Data

Your data is used to: provide, maintain, and improve our Services; process transactions and prevent fraud; respond to your inquiries and provide customer support; comply with legal obligations; and send you essential service updates or marketing communications which you can opt out of.

4. Data Sharing and Third Parties

We do not sell or rent your personal data. We may share data with trusted third-party service providers who perform services on our behalf, such as payment processors (Stripe), analytics providers (Google Analytics), and communication platforms. These third parties are obligated to protect your data and are prohibited from using it for any other purpose.

1. Introduction

This Acceptable Use Policy (AUP) is designed to protect Promex, our customers, and the internet community from irresponsible or illegal activities. By using our Services, you agree to comply with this AUP.

2. Prohibited Activities

You may not use our Services, including any computing resources accessed via Digital Tokens, to engage in, promote, or facilitate any of the following activities:

  • Illegal Activities: Violating any local, state, national, or international law or regulation.
  • Infringing Content: Hosting, distributing, or linking to content that infringes on the intellectual property rights of others (e.g., copyright, trademark).
  • Harassment and Harmful Content: Distributing content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable, including content that constitutes child pornography.
  • System and Network Abuse: Any activity that interferes with the proper functioning of any system or network. This includes, but is not limited to, automated scraping, denial of service (DoS) attacks, distributing malware, or unauthorized system access (hacking).
  • Email and Messaging Abuse: Sending unsolicited bulk email (spam), email bombing, or phishing.
  • Misrepresentation: Impersonating any person or entity or misrepresenting your affiliation with a person or entity.

3. Consequences of Violation

Violation of this AUP may result in immediate suspension or termination of your account and Services without notice and without refund. We reserve the right to report any illegal activities to law enforcement authorities.
