1. Introduction, Scope, & Agreement
Welcome to PROMEX DOT ME Inc. (“Promex”, “we”, “our”, or “us”). These General Terms of Service (the “Terms”) govern your access to and use of the Promex network of websites, which includes **promex.me, promex.ai, and wooshop.me** (collectively, the “Sites”).
These Terms, along with all policies in the other tabs, apply to all associated digital products and professional services offered through the Sites (collectively, the “Services”). This document forms a binding legal agreement between you and Promex. If you do not agree to these terms, you must not use our Sites or Services.
2. Services Provided
Promex offers a range of digital products and services, including but not limited to: SaaS subscriptions, API usage credits, custom web development, website hosting, business automation, and technology consulting. To use our Services, you must be at least 18 years old or the age of legal majority in your jurisdiction.
3. User Accounts
To access certain Services, you may need to create an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. By creating an account or providing your contact information, you consent to receive essential service-related communications from us.
4. Intellectual Property
All content, branding, software, and technology on our website and within our Services are the exclusive property of Promex or its licensors. You are granted no right or license to use our assets beyond the scope of the Services you have purchased. You may not copy, distribute, modify, or create derivative works from our assets without our express written permission.
5. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, PROMEX PROVIDES ITS SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.
7. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in King County, Washington.
8. Changes to Terms
We reserve the right to modify these terms at any time. We will post the most current version on this page with an updated “Effective Date.” By continuing to use our Services after changes become effective, you agree to be bound by the revised terms.
1. Preamble & Scope
This section governs all purchases of Subscription Plans and prepaid Service Credits (API Usage) from Promex.
2. Nature of Service Credits (SaaS Usage)
You acknowledge that any “Credits” or “Units” purchased on the platform are strictly for measuring usage of our SaaS tools (e.g., AI server requests, automation tasks).
- For Service Use Only: Credits are used solely to meter access to software tools offered via Promex/Wooshop. They have no monetary value outside of the platform.
- No Cash Value: Credits cannot be redeemed for cash, transferred to other users, or sold.
- Expiration: Unless otherwise stated in your specific plan, unused service credits may expire at the end of your billing cycle.
3. Delivery & Activation
Upon successful payment authorization, Subscriptions and Service Credits are activated immediately on your account. You agree that this activation constitutes full performance of delivery.
4. Refund Policy for Digital Consumables
Prepaid Service Credits are non-refundable once used or partially consumed.
Because these are digital consumables that incur server costs immediately upon use, we cannot offer refunds for credits that have already been applied to tasks, API calls, or server generation.
5. Payment Disputes
You agree to contact Promex support first to resolve any billing issues. Initiating a fraudulent chargeback for services that were delivered and used is a violation of these terms and may result in immediate account termination and collections action.

This policy outlines the conditions under which refunds may be issued.
2. Non-Refundable Items
The following are generally non-refundable:
- Consumed Service Credits: As detailed in the “SaaS Terms,” credits used for API calls or AI generation are non-refundable.
- Completed Custom Development: Fees for development work that has already been completed and delivered are non-refundable.
- Third-Party Licenses: Any fees paid for domain names or third-party software licenses are non-refundable.
3. Subscription Refund Policy (14-Day)
For recurring SaaS subscriptions (e.g., Wooshop Plans), we offer a 14-day refund policy for the initial payment, provided the service has not been significantly utilized (e.g., excessive API consumption). To request a cancellation and refund, please contact support within 14 days of your initial order.

Promex values your privacy. This policy explains what personal data we collect, how we use and protect it, and your rights regarding your data. We comply with applicable data privacy laws, including GDPR for EU users and CCPA for California residents.

- Provided by You: Name, email address, phone number, and any information you provide through contact forms or during account registration.
- Collected Automatically: IP address, browser/device information, and usage logs to help us improve our Services.
- Transaction Data: We collect transaction details related to your purchases. We do NOT store full credit card numbers.

4. Data Sharing and Third Parties
We do not sell your personal data. We may share data with trusted third-party service providers who perform services on our behalf, such as PCI-compliant payment processors, analytics providers, and communication platforms. These third parties are obligated to protect your data.
